Background and Context
THIS ALPHA TEST AGREEMENT DESCRIBES THE TERMS BY WHICH HAO2.EU OFFERS YOU (THE "USER") ACCESS TO AN ACCOUNT (THE "ACCOUNT") TO PLAY A PRE-RELEASE PRODUCT BEING DEVELOPED BY HAO2.EU, CURRENTLY KNOWN AS 10PIN MANARIN (THE "GAME"), SOLELY AS PART OF THIS ALPHA PREVIEW
Hao2 is developing the Game and needs real-world testing of the product in order to get feedback on usability, functionality, quality,  bugs, design, etc.. To this end, Hao2 agrees to make  the Game available to the User under the following conditions:

  1. This Alpha Test is by specific invitation only and open exclusively to individuals resident in UK, EU and China (the Permitted Territory).
  2. The Game is an online product and the recipient agrees to access and / or use it from locations within the Permitted Territory.
  3. This Agreement may be terminated at any time by Hao2.  Upon Termination, with the exception of clauses relating to Confidential Information and  Intellectual Property Rights, all rights and licenses will be terminated.
  4. The User acknowledges that Hao2 owns all intellectual property rights in and to the Game and Alpha Materials (documents, media and files relating to the Game or the development of the Game) relating to it, including, without limitation, all patent rights, copyrights, inventions, trade secret rights, trademark rights and intellectual property rights. The User may not remove the copyright and other proprietary rights notices from the Alpha Materials and agrees to prevent any unauthorised copying of the Alpha Materials. Except for the revocable, limited license as expressly provided  by this Agreement, Hao2 does not grant the User any express or implied right in any patents, copyrights, trademarks, or trade secret information.
  5. The User understands that participating in this Alpha Testing is on a volunteer basis and without any remuneration, compensation or credit to them.
  6. The User understands that the Game is not necessarily of "production quality" and may contain bugs and not perform according to expectations. Hao2 makes no warranty whatsoever as to the suitability of this software for any particular use. The Game is provided "as is" for the sole purpose of Alpha Testing.
  7. The User agrees to provide feedback on a periodic basis about the Game in the form requested by Hao2.  Specifically to inform Hao2 about the performance of the software, its ease of use, features that may be missing, functionality, quality, impact/learning outcomes, interface design, games and social media mechanics and any bugs encountered during the use of the Game. Hao2 may contact the User in writing and the User agrees to make available a reasonable amount of time to discuss the Game with Hao2 if so requested.
  8. The User understands that data will be collected, stored and analysed about the their use of the system and may be shared with partnering organisations.
  9. Confidential Information means any and all information relating to, contained in or relayed through the Game, and the Alpha Testing process, including without limitation, information relating to (i) the performance, capabilities and contents of the Game (ii) your feedback, (iii) any other participant's feedback, (iv) any feedback or comments by Hao2 employees or associates, (b) the terms of this Agreement, and (c) any and all information relating to the future of the Game.
  10. The User agrees to keep the Confidential Information in confidence and shall not publish or disclose in any format or otherwise make available, directly or indirectly, any Confidential Information to any third party except as expressly specified by Hao2.
  11. The User agrees to disclose only that they are participating in alpha testing and research/development about the Game which is a multiplatform gameful Chinese language learning platform owned by Hao2.  The User agrees that any other information relating to the Game and the Alpha Testing amounts to Confidential Information (see above).
  12. If the User is a company, it shall be responsible for any failure of any representative or employee of the User's company to comply with the terms of this Agreement, and this responsibility shall be in addition to, and not by way of limitation of, any right or remedy Hao2 may have against the representative or employee.
  13. The User may use the Game and Alpha Materials solely for the purposes described in the sections above or for such other purposes as may be approved in advance by Hao2 in writing.
  14. The User agrees that the UK courts have exclusive jurisdiction for any claim or dispute with Hao2 in relation to this Agreement
